Musa Guide Platform Terms

Part A: Basics
1. Introduction and Acceptance
1.1 These Platform Terms ("Terms") govern your access to and use of the Musa Guide platform located at https://musa.guide (the "Platform"), operated by Musa Guide Limited ("Musa Guide", "we", "us", or "our").
1.2 By creating an account, accepting an invitation to join the Platform, or otherwise accessing or using the Platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" and "Customer" shall refer to that organisation.
1.3 If you do not agree to these Terms, do not create an account, accept any invitation, or use the Platform.
1.4 These Terms were last updated on 26 November 2025. We may update these Terms from time to time in accordance with Section 45 (Amendments).
2. Who We Are
2.1 Musa Guide Limited is a company registered in England and Wales with company number 16307651.
2.2 Registered address: 86-90 Paul Street, London, EC2A 4NE, United Kingdom.
2.3 UK VAT number: GB490382284.
2.4 We also operate through our United States subsidiary, Musa Guide Inc., where applicable. References to "Musa Guide", "we", or "us" mean Musa Guide Limited and its affiliates, including Musa Guide Inc.

3. Definitions
In these Terms, unless the context requires otherwise:
"Account" means a registered account on the Platform.
"Aggregated Data" means data derived from Visitor Data, Customer Content, or Platform usage that has been aggregated, anonymised, or de-identified such that it does not identify the Customer, any individual Visitor, any specific Tour, or any individual. Aggregated Data may include usage patterns, behavioural trends, demographic insights, and statistical analyses.
"AI Output" means any content generated by the Platform using artificial intelligence, including scripts, voice narration, translations, and other generated materials.
"AI Providers" means the third-party artificial intelligence service providers used by Musa Guide to power the Platform, which may include (without limitation) Google, OpenAI, ElevenLabs, MiniMax, and others, and which may change from time to time.
"Credits" means the usage units purchased by the Customer that are consumed when Visitors access a Tour.
"Customer" means the organisation or individual that has created an Account and agreed to these Terms.
"Customer Content" means any content uploaded, submitted, or inputted to the Platform by or on behalf of the Customer, including text, scripts, images, videos, artwork information, storylines, character descriptions, and any other materials.
"Exhibition" means a collection of Tours within an Organisation, typically representing a physical or thematic exhibition.
"Field" means the web-based mobile interface of the Platform used for on-site activities including content capture, dynamic visitor access management, and field recording.
"Intellectual Property Rights" means patents, trademarks, service marks, trade names, domain names, copyrights, database rights, design rights, rights in know-how, rights in confidential information, and all other intellectual property rights, whether registered or unregistered, and all applications for or renewals or extensions of such rights worldwide.
"Organisation" means the Customer's account on the Platform, representing a museum, institution, or other entity.
"Platform" means the Musa Guide platform, including Studio, Field, and all related tools, features, and services, accessible at https://musa.guide .
"Professional Services" means any optional services provided by Musa Guide to the Customer outside of standard Platform access, such as data loading, tour design, content creation, or other implementation services.
"Revenue Share" means the pricing model where payment is collected from Visitors and revenue is shared between the Customer and Musa Guide in accordance with the agreed terms.
"Studio" means the web-based platform interface used by Customers to create, manage, and publish Tours.
"Tour" means an audio guide or experience created using the Platform and accessed by Visitors.
"Visitor" means an end user who accesses a Tour created by the Customer.
"Visitor Terms" means the terms and conditions and privacy policy applicable to Visitors when they access a Tour, available at https://musa.guide/visitor-terms .
Part B: The Service
4. Description of Service
4.1 Musa Guide provides a platform that enables Customers to create AI-powered audio guides and tours for museums, cultural institutions, and other venues.
4.2 The Platform includes the following core features:
(a) Studio: A web-based interface for creating, editing, managing, and publishing Tours, including the ability to upload Customer Content, configure AI-generated scripts and narration, manage translations, organise Exhibitions, and access analytics, visitor insights, and feedback;
(b) Field: A web-based mobile interface for on-site activities, including content capture, dynamic visitor access management, and field recording; and
(c) AI-Powered Generation: Generation of scripts, voice narration, and translations using artificial intelligence.
4.3 The specific features available to the Customer may depend on the Customer's pricing arrangement and may change from time to time in accordance with Section 7 (Service Modifications).
4.4 Musa Guide reserves the right to add, modify, or discontinue features of the Platform at any time. Where a change materially reduces the core functionality available to a paying Customer, Musa Guide will provide reasonable notice.
5. Professional Services
5.1 Musa Guide may, at its sole discretion, offer Professional Services to the Customer. Professional Services may include, without limitation:
(a) uploading and configuring Customer Content on the Platform;
(b) designing and structuring Tours and Exhibitions;
(c) content creation, editing, or optimisation; and
(d) implementation support and training.
5.2 Professional Services are provided at Musa Guide's discretion and are not included as part of standard Platform access unless expressly agreed in writing.
5.3 Professional Services may be provided free of charge or for a fee, as determined by Musa Guide. Any fees for Professional Services will be communicated to the Customer in advance.
5.4 Where Professional Services are provided, the Customer shall:
(a) provide all necessary materials, information, and access in a timely manner;
(b) respond promptly to requests for clarification or approval; and
(c) ensure that any materials provided do not infringe third-party rights.
5.5 Musa Guide makes no guarantees regarding timelines for Professional Services unless expressly agreed in writing. Delays caused by the Customer's failure to provide materials or approvals shall not be the responsibility of Musa Guide.
5.6 The Customer grants Musa Guide a perpetual, worldwide, royalty-free licence to use the Customer's Organisation name, logo, and a general description of the work performed as part of Professional Services for Musa Guide's marketing and promotional purposes. Musa Guide may also use Tours, materials, or content created as part of Professional Services for demonstrations and showcasing. The Customer may request in writing that Musa Guide cease such use of specific content. Musa Guide will consider such requests in good faith but is not obligated to comply.
6. Platform Access
6.1 Musa Guide provides access to the Platform, allowing Customers to create an Organisation, explore Studio and Field, and build Tours at no upfront cost.
6.2 To enable Visitor access to Tours, the Customer must enter into a paid arrangement, such as purchasing Credits or activating a Revenue Share model. These arrangements can be activated directly within the Platform without requiring a separate agreement.
6.3 Credit pricing is determined by Musa Guide. Standard rates are applied automatically for self-serve purchases. Customised pricing may be agreed based on venue size, expected usage, or other factors.
6.4 Musa Guide may, at its sole discretion, provide free Credits or other benefits to Customers.
6.5 Musa Guide monitors Platform usage to prevent abuse. Where abuse or excessive usage is detected, Musa Guide may take appropriate action, including suspending access, requiring the Customer to enter into a separate agreement, or adjusting usage limits. In determining appropriate action, Musa Guide will consider the Customer's intentions and whether any misuse was malicious. Customers acting in good faith and within reasonable limits will not be penalised.
6.6 Accounts that remain inactive for an extended period may be suspended or deleted at Musa Guide's discretion. Where possible, Musa Guide will notify the Customer before taking such action.
6.7 Musa Guide reserves the right to modify, limit, or discontinue free Platform access at any time, with or without notice.
7. Service Modifications
7.1 Musa Guide may, at any time, modify, update, or enhance the Platform, including adding new features, changing existing features, or discontinuing features.
7.2 Musa Guide will endeavour to provide reasonable notice of any changes that materially reduce the core functionality of the Platform available to paying Customers.
7.3 Continued use of the Platform following any modifications constitutes acceptance of those modifications.
7.4 Musa Guide is not liable to the Customer for any modification, suspension, or discontinuation of any feature or part of the Platform.
Part C: Account & Access
8. Eligibility
8.1 The Platform is intended for use by museums, cultural institutions, and other organisations. By creating an Account, you represent and warrant that:
(a) you are acting on behalf of a legitimate organisation, business, or entity;
(b) you have the legal authority to bind that organisation to these Terms;
(c) you are at least 18 years of age; and
(d) your use of the Platform does not violate any applicable laws or regulations.
8.2 Musa Guide reserves the right to refuse access to the Platform, or to suspend or terminate any Account, if Musa Guide reasonably believes that the eligibility requirements in this Section 8 are not met.
8.3 The Platform is not intended for personal or consumer use. Individuals wishing to access Tours as Visitors should refer to the Visitor Terms.
9. Account Registration and Security
9.1 To access the Platform, you must create an Account or accept an invitation to join an existing Organisation.
9.2 When creating an Account or accepting an invitation, you agree to:
(a) provide accurate, current, and complete information;
(b) maintain and promptly update your information to keep it accurate and complete; and
(c) keep your login credentials secure and confidential.
9.3 You are responsible for all activity that occurs under your Account or within your Organisation, whether or not authorised by you. You must notify Musa Guide immediately at hi@musa.guide if you become aware of any unauthorised access to or use of your Account.
9.4 Musa Guide is not liable for any loss or damage arising from your failure to maintain the security of your Account credentials.
9.5 An Organisation may have multiple users with different access levels. The Organisation administrator is responsible for managing user access and assigning appropriate access levels within the capabilities provided by the Platform, and for ensuring that all users comply with these Terms.
9.6 Musa Guide reserves the right to suspend or terminate any Account that Musa Guide reasonably believes is being used in violation of these Terms, or where Account information is inaccurate or incomplete.
Part D: Fees & Payment
10. Pricing Models
10.1 Musa Guide offers the following pricing models for enabling Visitor access to Tours:
(a) Credits: The Customer purchases Credits in advance. Credits are consumed when a Visitor activates a Tour. One Credit equals one Visitor activation. Credit pricing is determined by Musa Guide. Standard rates are available for self-serve purchase within the Platform. Customised Credit pricing may be negotiated and agreed on a per-customer basis, taking into account factors such as venue size and expected usage.
(b) In-App Payments (Revenue Share): Visitors pay directly to access a Tour via the Platform. Revenue is shared between the Customer and Musa Guide. Unless otherwise agreed, Musa Guide's share is equivalent to the applicable Credit price plus thirty percent (30%) of the remaining amount after the Credit price is deducted. Third-party payment processing fees (such as Stripe fees) are deducted from the Customer's share, not from Musa Guide's share.
10.2 Musa Guide may introduce additional pricing models from time to time, including subscription-based models. Any new pricing models will be made available within the Platform or communicated to Customers directly.
10.3 The applicable pricing model, rates, and any customised terms will be displayed within the Platform or agreed in writing between the Customer and Musa Guide.
10.4 Musa Guide reserves the right to modify standard pricing at any time. Changes to standard pricing will be reflected within the Platform. Any customised pricing agreed with a Customer will remain in effect unless otherwise agreed or until the relevant agreement period ends.
11. Payment Terms
11.1 For Credit purchases: Payment is due at the time of purchase and may be made via credit card, debit card, or bank transfer, as available within the Platform or as agreed with Musa Guide. Credits are made available to the Customer's Organisation upon successful payment. Minimum purchase amounts may apply, as displayed within the Platform or determined by Musa Guide at its discretion.
11.2 For In-App Payments (Revenue Share): Musa Guide collects payments from Visitors directly. Musa Guide will pay the Customer a distribution fee representing the Customer's share of revenue, less any applicable deductions as set out in Section 10. Payouts are made in accordance with the schedule displayed within the Platform or as otherwise agreed, subject to minimum payout thresholds being met.
11.3 All payments must be made using the payment methods available within the Platform or as otherwise agreed with Musa Guide.
11.4 The Customer is responsible for providing accurate payment and payout information. Musa Guide is not liable for payment failures or delays caused by inaccurate information provided by the Customer.
11.5 If Credits are exhausted and the Customer has not purchased additional Credits, Visitor access to Tours may be interrupted until Credits are replenished. In the event of payment issues beyond the Customer's control, the Customer should contact Musa Guide at hi@musa.guide , and Musa Guide may, at its sole discretion, provide temporary assistance to avoid service interruption.
11.6 Musa Guide may engage third-party payment processors (such as Stripe) to facilitate payments. The Customer agrees to comply with any applicable terms of such third-party payment processors. Payment confirmations and receipts may be issued by such third-party processors.
12. Taxes
12.1 All fees and prices stated by Musa Guide are exclusive of applicable taxes unless otherwise stated.
12.2 The Customer is responsible for all taxes, duties, levies, or similar charges imposed by any government authority in connection with the Customer's purchase or use of the Platform, excluding taxes based on Musa Guide's net income.
12.3 For In-App Payments (Revenue Share), Musa Guide or its designated payment processor may act as the merchant of record for Visitor transactions. Where a merchant of record is used, applicable taxes (such as VAT) will be calculated and collected at checkout in accordance with applicable law, and will be handled by the merchant of record. The Customer's distribution fee is calculated on the net amount after taxes.
12.4 The Customer is responsible for determining and fulfilling any tax obligations arising from receiving distribution fees from Musa Guide, including any income tax, corporation tax, or similar obligations in their jurisdiction.
12.5 If Musa Guide is required by law to withhold or deduct any taxes from payments to the Customer, Musa Guide will do so and provide documentation as reasonably required.
13. Price Changes
13.1 Musa Guide reserves the right to change its standard pricing for Credits and other services at any time. Updated pricing will be displayed within the Platform.
13.2 Price changes for standard rates will take effect for purchases made after the change is published. Existing unused Credits are not affected by price changes.
13.3 Where customised pricing has been agreed with a Customer, Musa Guide may modify such pricing at any time by providing reasonable notice to the Customer. The updated pricing will take effect following the notice period. If the Customer does not agree to the new pricing, the Customer may terminate the agreement in accordance with Section 33 (Termination for Convenience).
13.4 Credits do not expire unless otherwise specified at the time of purchase or agreed in writing.
14. Refunds
14.1 Credit purchases are generally non-refundable. Once Credits are purchased, they remain available in the Customer's Organisation until used.
14.2 Musa Guide may, at its sole discretion, offer refunds or Credits in the following circumstances:
(a) where there has been a material failure of the Platform that prevented the Customer from using purchased Credits;
(b) where duplicate or erroneous payments have been made; or
(c) in other exceptional circumstances, as determined by Musa Guide.
14.3 Refund requests must be submitted to hi@musa.guide within fourteen (14) days of the relevant purchase or issue, or such longer period as may be required by applicable law in the Customer's jurisdiction.
14.4 For In-App Payments (Revenue Share), refunds to Visitors are handled in accordance with Musa Guide's Visitor Terms and applicable consumer protection laws. Where a refund is issued to a Visitor, the corresponding distribution fee paid or owed to the Customer may be deducted from future payouts or recovered from the Customer.
14.5 Musa Guide reserves the right to refuse refund requests that it reasonably believes to be fraudulent, excessive, or not made in good faith.
Part E: Content
15. Customer Content
15.1 "Customer Content" includes all content uploaded, submitted, or inputted to the Platform by or on behalf of the Customer, including text, scripts, images, videos, artwork information, storylines, character descriptions, audio files, and any other materials.
15.2 The Customer retains ownership of all Customer Content. Nothing in these Terms transfers ownership of Customer Content to Musa Guide.
15.3 By uploading Customer Content to the Platform, the Customer grants Musa Guide a worldwide, non-exclusive, royalty-free, sublicensable licence to:
(a) use, reproduce, process, adapt, modify, and display the Customer Content as necessary to provide the Platform and related services;
(b) generate AI Output based on the Customer Content;
(c) deliver Tours to Visitors;
(d) use the Customer Content to improve the Platform and Musa Guide's services, provided that Customer Content is not disclosed to other customers in identifiable form; and
(e) use Customer Content, Tours, Organisation name, logo, and related materials for Musa Guide's marketing, promotional, demonstration, and showcasing purposes.
15.4 The licence granted in Section 15.3 survives termination of these Terms to the extent necessary for Musa Guide to continue exercising rights granted under Section 15.3(d) and 15.3(e). The Customer may request in writing that Musa Guide cease use under Section 15.3(e). Musa Guide will consider such requests in good faith but is not obligated to comply. Where Musa Guide agrees to cease use, Musa Guide will make reasonable efforts to remove such materials from active marketing within a reasonable timeframe, though removal from materials already published or distributed may not be possible.
15.5 The Customer represents and warrants that:
(a) the Customer owns or has obtained all necessary rights, licences, and permissions to upload and use the Customer Content on the Platform;
(b) the Customer Content does not infringe the Intellectual Property Rights or other rights of any third party;
(c) the Customer has obtained any necessary consents from individuals whose personal data, image, or likeness appears in the Customer Content; and
(d) the Customer Content complies with all applicable laws and regulations.
15.6 Musa Guide does not review, verify, or endorse Customer Content. The Customer is solely responsible for the accuracy, legality, and appropriateness of all Customer Content.
15.7 Musa Guide may create Aggregated Data from Customer Content and Platform usage. Musa Guide owns all Aggregated Data and may use, analyse, publish, license, or sell Aggregated Data for any purpose, including commercial purposes and provision to third parties.
16. Prohibited Content
16.1 The Customer shall not upload, submit, or use the Platform to create, distribute, or display any content that:
(a) is illegal or promotes illegal activity in any applicable jurisdiction;
(b) infringes the Intellectual Property Rights, privacy rights, or other rights of any third party;
(c) contains unlawful, defamatory, obscene, pornographic, or sexually explicit material, unless presented for legitimate educational or artistic purposes in a tasteful manner, as determined by Musa Guide at its sole discretion;
(d) promotes violence, terrorism, hatred, or discrimination against any individual or group;
(e) contains malware, viruses, or other harmful code;
(f) is fraudulent, deceptive, or misleading;
(g) impersonates any person or entity, or misrepresents affiliation with any person or entity; or
(h) otherwise violates these Terms or any applicable law.
16.2 Musa Guide reserves the right, but has no obligation, to review Customer Content and to remove or disable access to any content that Musa Guide reasonably believes violates this Section 16 or is otherwise objectionable.
16.3 If Musa Guide removes or disables content under this Section 16, Musa Guide will make reasonable efforts to notify the Customer, except where prohibited by law or where notification could compromise safety or an investigation.
16.4 The Customer may submit disputes regarding content removal to hi@musa.guide . Musa Guide may, but is not obligated to, review such disputes. Musa Guide's decision on content removal is final.
16.5 Repeated or serious violations of this Section 16 may result in suspension or termination of the Customer's Account in accordance with Section 34 (Termination for Cause).
17. Content Responsibility
17.1 The Customer is solely responsible for all Customer Content, including its accuracy, legality, reliability, appropriateness, and compliance with third-party rights.
17.2 Musa Guide does not control, verify, endorse, or assume responsibility for any Customer Content. The presence of Customer Content on the Platform does not imply any approval, endorsement, or verification by Musa Guide.
17.3 The Customer acknowledges that:
(a) Visitors will rely on the information presented in Tours;
(b) inaccurate, misleading, or inappropriate content may cause harm to Visitors, the Customer's reputation, or third parties; and
(c) the Customer bears full responsibility for any claims, damages, or liabilities arising from Customer Content.
17.4 The Customer shall indemnify and hold harmless Musa Guide from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to Customer Content, including any claim that Customer Content infringes third-party rights or violates applicable law.
Part F: AI-Specific Terms
18. AI-Generated Content
18.1 The Platform uses artificial intelligence to generate content, including scripts, voice narration, translations, and other outputs ("AI Output").
18.2 AI Output is generated based on Customer Content, Platform configurations, and the capabilities of the underlying AI Providers. The Customer acknowledges that:
(a) AI Output is generated algorithmically and may contain errors, inaccuracies, omissions, or unexpected results;
(b) AI Output may vary between generations, even when based on the same inputs;
(c) Musa Guide does not guarantee the accuracy, completeness, reliability, suitability, or quality of any AI Output;
(d) AI Output should be reviewed by the Customer where possible before being made available to Visitors; and
(e) some AI Output is generated dynamically and may not be reviewable in advance of delivery to Visitors.
18.3 The Customer is solely responsible for all AI Output generated from their Customer Content and delivered to their Visitors, regardless of whether the Customer had the opportunity to review such output.
18.4 Musa Guide implements guidelines and safeguards to promote the quality and appropriateness of AI Output, but does not warrant that AI Output will be free from errors or objectionable content.
18.5 Musa Guide may change, update, or replace the AI models and AI Providers used by the Platform at any time without notice. Such changes may affect the characteristics, quality, or consistency of AI Output. Musa Guide does not guarantee that AI Output will remain consistent following changes to underlying AI models or providers.
18.6 Musa Guide is not liable for any claims, damages, or losses arising from AI Output, including inaccuracies, errors, offensive content, changes resulting from AI model updates, or any reliance by Visitors on AI Output.
18.7 The Customer shall not use the Platform to intentionally generate AI Output that violates Section 16 (Prohibited Content) or any applicable law.
19. AI Output Ownership
19.1 AI Output is generated using a combination of Customer Content, Musa Guide's Platform and technology, and third-party AI Providers.
19.2 To the extent that ownership can be assigned to AI Output under applicable law, the Customer is granted a non-exclusive, worldwide, royalty-free licence to use AI Output generated from their Customer Content for the purposes of operating their Tours on the Platform.
19.3 The licence granted in Section 19.2 does not include the right to:
(a) reverse engineer, analyse, or use AI Output to train, develop, or improve any machine learning model, artificial intelligence system, or similar technology;
(b) use AI Output to create, develop, or contribute to any product or service that competes with Musa Guide or the Platform; or
(c) resell, sublicense, or commercially distribute AI Output as a standalone product.
19.4 For clarity, the Customer may use AI Output for their own operations after termination, subject to Section 19.3.
19.5 Customers requiring broader rights to AI Output may request customised terms by contacting Musa Guide.
19.6 The Customer acknowledges that:
(a) the legal status of ownership and copyright in AI-generated content is evolving and may vary by jurisdiction;
(b) Musa Guide makes no representations or warranties regarding the Customer's ability to claim exclusive ownership or copyright in AI Output; and
(c) similar AI Output may be generated for other customers using different inputs, and the Customer has no claim to exclusivity over AI Output.
19.7 Musa Guide retains all rights in the underlying technology, prompts, configurations, and systems used to generate AI Output. Nothing in these Terms grants the Customer any rights to Musa Guide's technology or intellectual property.
19.8 Musa Guide may use AI Output to improve the Platform and its services, provided that such use does not disclose identifiable Customer Content to third parties.
20. AI Limitations
20.1 The Customer acknowledges and accepts the following limitations of AI-powered services:
(a) No guarantee of availability: AI Providers may experience downtime, rate limits, or service disruptions that affect the Platform's ability to generate AI Output;
(b) No guarantee of consistency: AI Output may vary in style, tone, length, or content between generations, even with identical inputs;
(c) No guarantee of factual accuracy: AI may generate content that is factually incorrect, anachronistic, or inconsistent with source materials;
(d) Language limitations: Translation and multilingual features may contain errors, unnatural phrasing, or culturally inappropriate expressions;
(e) Voice limitations: AI-generated voice narration may mispronounce words, names, or technical terms, and may not perfectly reflect intended tone or emotion; and
(f) Content filtering: AI Providers may refuse to generate certain content based on their own policies, which may differ from Musa Guide's policies.
20.2 Musa Guide will use reasonable efforts to maintain AI service quality but is not responsible for limitations, failures, or changes imposed by third-party AI Providers.
20.3 The Customer accepts these limitations as inherent to current AI technology and agrees that such limitations do not constitute a breach of these Terms or grounds for refund.
Part G: Intellectual Property
21. Musa Guide Intellectual Property
21.1 Musa Guide and its licensors own all rights, title, and interest in and to the Platform, including:
(a) all software, code, algorithms, APIs, and technical infrastructure;
(b) all prompts, configurations, templates, and systems used to generate AI Output;
(c) all designs, user interfaces, and user experience elements;
(d) all trademarks, service marks, logos, and branding, including the Musa Guide name and logo;
(e) all documentation, training materials, and support content;
(f) all improvements, modifications, and derivative works of any of the foregoing; and
(g) all Visitor data, analytics, intelligence, insights, and derived data generated through the Platform.
21.2 These Terms grant the Customer a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely in accordance with these Terms. This licence does not include any right to:
(a) sublicense, sell, resell, or distribute the Platform itself or access to the Platform (for clarity, selling access to Tours using Credits purchased by the Customer is permitted);
(b) modify, adapt, translate, or create derivative works of the Platform;
(c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform;
(d) copy, frame, mirror, or scrape any part of the Platform;
(e) access the Platform to build a competing product or service; or
(f) use any automated means (including bots, scrapers, or crawlers) to access the Platform, except where expressly enabled through Musa Guide's APIs or integrations.
21.3 Musa Guide grants the Customer a limited licence to access and view Visitor analytics and insights relating to the Customer's own Tours, as made available within the Platform. Musa Guide retains ownership of all such data.
21.4 All rights not expressly granted in these Terms are reserved by Musa Guide.
21.5 The Customer shall not remove, obscure, or alter any proprietary notices, labels, or marks on the Platform.
22. Customer Intellectual Property
22.1 The Customer retains all rights, title, and interest in and to Customer Content, subject to the licences granted to Musa Guide in these Terms.
22.2 Nothing in these Terms transfers ownership of Customer Content to Musa Guide. The licences granted in Section 15 (Customer Content) and elsewhere in these Terms are licences only and do not constitute an assignment of rights.
22.3 The Customer is solely responsible for protecting their own Intellectual Property Rights in Customer Content, including registering copyrights, trademarks, or other protections as the Customer deems appropriate.
22.4 Musa Guide will not claim ownership of Customer Content. However, the Customer acknowledges that Musa Guide may develop features, content, or materials independently that are similar to Customer Content, and the Customer has no claim to such independently developed materials.
23. Feedback
23.1 The Customer may from time to time provide suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Platform ("Feedback").
23.2 By providing Feedback, the Customer grants Musa Guide a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit the Feedback for any purpose, without compensation, attribution, or obligation to the Customer.
23.3 Musa Guide is under no obligation to implement any Feedback. If Musa Guide implements Feedback, the Customer has no claim to any ownership, compensation, or credit in connection with such implementation.
23.4 The Customer represents that any Feedback provided does not infringe the Intellectual Property Rights of any third party and that the Customer has the right to grant the licence in Section 23.2.
Part H: End Visitors
24. Visitor Terms
24.1 Visitors who access Tours are subject to Musa Guide's Visitor Terms, available at https://musa.guide/visitor-terms (or such other URL as Musa Guide may designate).
24.2 By using the Platform to create and deploy Tours, the Customer acknowledges and agrees that:
(a) Visitors will be presented with the Visitor Terms and by proceeding to access a Tour, Visitors agree to be bound by the Visitor Terms;
(b) the Visitor Terms govern the relationship between Musa Guide and Visitors;
(c) the Customer will not make any representations to Visitors that contradict or conflict with the Visitor Terms; and
(d) Musa Guide may update the Visitor Terms from time to time without notice to the Customer.
24.3 The Customer is responsible for informing Visitors that access to Tours is provided through the Musa Guide platform and is subject to the Visitor Terms.
24.4 Musa Guide is not liable to the Customer for any disputes, claims, or issues arising between the Customer and Visitors. Any such matters are the sole responsibility of the Customer.
25. Visitor Data
25.1 "Visitor Data" means data collected from Visitors who access Tours, including usage data, behavioural data, device information, and, where provided, contact information.
25.2 As between the Customer and Musa Guide, Visitor Data relating to the Customer's Tours is the Customer's data. The Customer grants Musa Guide a worldwide, perpetual, royalty-free licence to collect, store, process, and use Visitor Data for the purposes of:
(a) providing, operating, and improving the Platform;
(b) generating analytics and insights for the Customer;
(c) creating Aggregated Data; and
(d) any other purpose described in the Privacy Policy.
25.3 Musa Guide may create Aggregated Data from Visitor Data. Musa Guide owns all Aggregated Data and may use, analyse, publish, license, or sell Aggregated Data for any purpose, including commercial purposes, research, and provision to third parties.
25.4 The licence granted in Section 25.2 survives termination of these Terms. Following termination, Musa Guide may retain Visitor Data in aggregated or anonymised form indefinitely, and may retain identifiable Visitor Data for a reasonable period for legal, operational, and analytical purposes.
25.5 The Customer may access Visitor Data relating to their Tours through the functionality provided within the Platform. Upon written request made within thirty (30) days of termination, Musa Guide will make reasonable efforts to provide the Customer with an export of Visitor Data in a standard format, subject to technical feasibility.
25.6 The Customer shall not:
(a) attempt to extract, scrape, or export Visitor Data beyond the functionality provided within the Platform;
(b) use Visitor Data for purposes unrelated to the Customer's Tours or relationship with their Visitors; or
(c) sell, share, or disclose Visitor Data to third parties, except as required by law.
Part I: Data & Privacy
26. Data Processing
26.1 In this Section 26, "Data Protection Laws" means all applicable laws relating to the processing of personal data, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the EU General Data Protection Regulation (EU GDPR) where applicable.
26.2 The parties acknowledge that:
(a) with respect to Customer personal data (such as account holder information and user credentials), Musa Guide acts as a data controller;
(b) with respect to Visitor Data, Musa Guide acts as a data controller; and
(c) with respect to any personal data contained within Customer Content that the Customer uploads to the Platform, the Customer acts as the data controller and Musa Guide acts as a data processor, processing such data on behalf of the Customer solely to provide the Platform.
26.3 Where Musa Guide acts as a data processor under Section 26.2(c), Musa Guide shall:
(a) process personal data only in accordance with the Customer's documented instructions, unless required by law to process otherwise;
(b) ensure that personnel authorised to process personal data are subject to confidentiality obligations;
(c) implement appropriate technical and organisational security measures;
(d) not engage sub-processors without the Customer's general authorisation (which is hereby granted), and inform the Customer of any intended changes to sub-processors, giving the Customer the opportunity to object;
(e) assist the Customer, where reasonably possible, in responding to data subject requests;
(f) assist the Customer in ensuring compliance with security, breach notification, and data protection impact assessment obligations;
(g) at the Customer's choice, delete or return personal data upon termination of the agreement, unless retention is required by law; and
(h) make available information necessary to demonstrate compliance and allow for audits, subject to reasonable notice and confidentiality obligations.
26.4 The Customer authorises Musa Guide to engage sub-processors to assist in providing the Platform. Sub-processors may include AI Providers, infrastructure providers, database providers, and other service providers. Current sub-processors include, but are not limited to, Supabase, Vercel, Amazon Web Services, and AI Providers such as Google, OpenAI, ElevenLabs, and MiniMax. Musa Guide may add, remove, or replace sub-processors at any time without notice. A current list of sub-processors is available upon request.
26.5 Personal data is primarily stored in the United States unless otherwise disclosed. Musa Guide may change data storage locations at any time and will update its Privacy Policy to reflect material changes to primary storage locations.
26.6 In the event of a personal data breach affecting Customer Content, Musa Guide will notify the Customer without undue delay upon becoming aware of the breach.
27. GDPR Compliance
27.1 Musa Guide is committed to compliance with applicable Data Protection Laws, including the UK GDPR and, where applicable, the EU GDPR.
27.2 Lawful Basis: Musa Guide processes personal data on the following lawful bases, as applicable:
(a) performance of a contract (to provide the Platform and services);
(b) legitimate interests (to improve the Platform, analytics, security, and fraud prevention);
(c) legal obligations (where required by law); and
(d) consent (where explicitly obtained, such as for marketing communications).
27.3 Data Subject Rights: Where Musa Guide receives a request from a data subject (such as a request for access, rectification, erasure, or portability) relating to personal data for which the Customer is the data controller, Musa Guide will promptly notify the Customer and provide reasonable assistance in responding to the request.
27.4 International Transfers: Where personal data is transferred outside the UK or European Economic Area, Musa Guide will ensure appropriate safeguards are in place, such as Standard Contractual Clauses or transfers to countries with an adequacy decision.
27.5 AI Provider Transfers: The Customer acknowledges that use of AI Providers may involve the transfer of data to countries outside the UK or EEA, including the United States. Musa Guide will use reasonable efforts to engage AI Providers that maintain appropriate data protection safeguards.
27.6 The Customer is responsible for ensuring that any personal data included in Customer Content is collected and provided to Musa Guide in compliance with Data Protection Laws, including obtaining any necessary consents.
27.7 Personal Data in AI Interactions: Visitors should not input sensitive personal information into AI-powered features such as chat or conversational interactions. The Customer acknowledges that Musa Guide is not responsible for any personal data voluntarily disclosed by Visitors during such interactions.
28. Privacy Policy
28.1 Musa Guide's collection, use, and processing of personal data is governed by the Musa Guide Privacy Policy, available at https://musa.guide/privacy .
28.2 By using the Platform, the Customer acknowledges that they have read and understood the Privacy Policy.
28.3 The Privacy Policy may be updated from time to time. Continued use of the Platform following any updates constitutes acceptance of the revised Privacy Policy.
28.4 The Customer is responsible for ensuring that any individuals whose personal data the Customer provides to Musa Guide (such as users within the Customer's Organisation) are informed of the Privacy Policy.
Part J: Third-Party Services
29. Third-Party AI Providers
29.1 The Platform uses third-party AI Providers to power certain features, including script generation, voice narration, and translation. Current AI Providers include, but are not limited to, Google (Gemini), OpenAI, ElevenLabs, and MiniMax.
29.2 The Customer acknowledges and agrees that:
(a) AI Providers may change at any time without notice;
(b) Customer Content and inputs may be transmitted to AI Providers for processing;
(c) AI Providers are subject to their own terms of service and privacy policies, which may differ from Musa Guide's;
(d) Musa Guide does not control and is not responsible for the actions, availability, or policies of AI Providers; and
(e) AI Providers may impose content restrictions, rate limits, or usage policies that affect the Platform's functionality.
29.3 Musa Guide will use reasonable efforts to select AI Providers that maintain appropriate security and data protection standards, but makes no warranties regarding the practices of any AI Provider.
29.4 Musa Guide is not liable for any loss, damage, or disruption caused by the acts or omissions of AI Providers, including service outages, data processing, content refusals, or changes to AI Provider services.
Part K: Availability
30. Service Availability
30.1 Musa Guide will use reasonable efforts to maintain the availability of the Platform. However, the Platform is provided on an "as available" basis, and Musa Guide does not guarantee any specific level of uptime or availability.
30.2 The Platform may be temporarily unavailable due to:
(a) scheduled maintenance (Musa Guide will endeavour to provide advance notice where practicable);
(b) unscheduled maintenance or emergency repairs;
(c) failures or outages of third-party services, including AI Providers, hosting providers, or payment processors;
(d) events beyond Musa Guide's reasonable control (see Section 49: Force Majeure); or
(e) suspension of the Customer's Account in accordance with these Terms.
30.3 Musa Guide is not liable for any loss, damage, or inconvenience caused by Platform unavailability, interruptions, or performance issues.
30.4 Customers requiring guaranteed uptime or service level commitments may request a separate Service Level Agreement, which may be agreed as part of customised terms.
31. Support
31.1 Musa Guide provides support to Customers via email at hi@musa.guide .
31.2 Musa Guide will use reasonable efforts to respond to support requests in a timely manner. However, Musa Guide does not guarantee any specific response times or resolution times under these Terms.
31.3 Support is provided in English and German. Support in other languages may be available at Musa Guide's discretion.
31.4 Customers requiring dedicated support, guaranteed response times, or enhanced support services may request customised support terms, which may be agreed as part of customised terms.
31.5 Musa Guide may provide support resources, documentation, and self-service materials within the Platform or on the Musa Guide website. The Customer is encouraged to consult these resources before submitting support requests.
Part L: Term & Termination
32. Term
32.1 These Terms become effective when the Customer creates an Account, accepts an invitation to join the Platform, or otherwise accesses or uses the Platform.
32.2 These Terms remain in effect until terminated by either party in accordance with Section 33 (Termination for Convenience) or Section 34 (Termination for Cause).
32.3 Certain provisions of these Terms survive termination, as set out in Section 36 (Survival).
33. Termination for Convenience
33.1 The Customer may terminate these Terms at any time by closing their Account through the Platform or by providing written notice to Musa Guide at hi@musa.guide .
33.2 Musa Guide may terminate these Terms or close any Customer Account at any time by providing written notice to the Customer at the email address associated with the Account. Musa Guide will endeavour to provide reasonable notice where practicable, but reserves the right to terminate immediately where necessary.
33.3 Upon termination for convenience:
(a) the Customer's access to the Platform will cease;
(b) any unused Credits are forfeited and non-refundable;
(c) any outstanding fees owed to Musa Guide become immediately due; and
(d) any pending distribution fees owed to the Customer will be paid out in accordance with Section 11 (Payment Terms), subject to minimum payout thresholds.
33.4 Musa Guide is not required to provide a reason for termination under this Section 33.
34. Termination for Cause
34.1 Musa Guide may suspend or terminate the Customer's access to the Platform immediately and without notice if:
(a) the Customer breaches any provision of these Terms;
(b) the Customer fails to pay any amounts due;
(c) the Customer engages in fraudulent, illegal, or abusive activity;
(d) the Customer's use of the Platform poses a security risk or may harm Musa Guide, other customers, or third parties;
(e) the Customer becomes insolvent, enters administration, liquidation, or similar proceedings; or
(f) Musa Guide is required to do so by law or by a government or regulatory authority.
34.2 The Customer may terminate these Terms immediately upon written notice if Musa Guide materially breaches these Terms and fails to remedy such breach within thirty (30) days of receiving written notice of the breach.
34.3 Upon termination for cause by Musa Guide:
(a) the Customer's access to the Platform will cease immediately;
(b) any unused Credits may be forfeited at Musa Guide's discretion;
(c) Musa Guide may withhold any pending distribution fees if there is a reasonable suspicion of fraud or breach; and
(d) Musa Guide reserves the right to pursue any available legal remedies.
34.4 Termination for cause does not limit either party's rights or remedies at law or in equity.
35. Effect of Termination
35.1 Upon termination of these Terms for any reason:
(a) the Customer's right to access and use the Platform terminates immediately;
(b) the Customer must cease all use of the Platform;
(c) Tours created by the Customer will no longer be accessible to Visitors;
(d) the licences granted by the Customer to Musa Guide under these Terms will survive to the extent specified in Section 15.4 and Section 5.6; and
(e) the licences granted by Musa Guide to the Customer under these Terms will terminate.
35.2 Termination does not affect any rights or obligations that accrued prior to termination, including any payment obligations.
35.3 Musa Guide may retain Customer Content and data for a reasonable period following termination for legal, regulatory, or operational purposes, after which it may be deleted.
35.4 Upon request made within thirty (30) days of termination, Musa Guide will make reasonable efforts to provide the Customer with an export of their Customer Content, subject to technical feasibility and any applicable fees. After this period, Musa Guide has no obligation to retain or provide Customer Content.
36. Survival
36.1 The following provisions survive termination or expiration of these Terms:
(a) Section 3 (Definitions);
(b) Section 11 (Payment Terms) – with respect to any outstanding amounts;
(c) Section 12 (Taxes);
(d) Section 14 (Refunds);
(e) Section 15 (Customer Content) – with respect to licences that survive termination;
(f) Section 17 (Content Responsibility);
(g) Section 18 (AI-Generated Content) – with respect to disclaimers and limitations;
(h) Section 19 (AI Output Ownership);
(i) Section 21 (Musa Guide IP);
(j) Section 22 (Customer IP);
(k) Section 23 (Feedback);
(l) Section 26 (Data Processing) and Section 27 (GDPR Compliance);
(m) Section 35 (Effect of Termination);
(n) Section 37 (Disclaimers);
(o) Section 38 (Limitation of Liability);
(p) Section 39 (Indemnification);
(q) Section 40 (Confidentiality);
(r) Section 41 (Governing Law) and Section 42 (Dispute Resolution); and
(s) any other provisions that by their nature should survive termination.
36.2 Survival of any provision does not imply that the terminated party retains any right to use the Platform or access any services.
Part M: Disclaimers & Liability
37. Disclaimers
37.1 The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
37.2 To the fullest extent permitted by applicable law, Musa Guide disclaims all warranties, including but not limited to:
(a) implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
(b) any warranty that the Platform will meet the Customer's requirements or expectations;
(c) any warranty that the Platform will be uninterrupted, timely, secure, or error-free;
(d) any warranty regarding the accuracy, reliability, completeness, or quality of any AI Output;
(e) any warranty regarding the accuracy or reliability of any information obtained through the Platform; and
(f) any warranty that defects will be corrected.
37.3 Musa Guide does not warrant that AI Output will be accurate, appropriate, or free from errors or offensive content. The Customer uses AI Output at their own risk.
37.4 Musa Guide does not endorse, verify, or assume responsibility for any Customer Content or any Tours created by Customers.
37.5 Any advice, recommendations, or information provided by Musa Guide or through the Platform does not constitute a warranty.
37.6 Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the exclusions in this Section 37 apply to the fullest extent permitted by applicable law.
38. Limitation of Liability
38.1 To the fullest extent permitted by applicable law, Musa Guide shall not be liable for any:
(a) indirect, incidental, special, consequential, or punitive damages;
(b) loss of profits, revenue, business, or anticipated savings;
(c) loss of data or Customer Content;
(d) loss of goodwill or reputation;
(e) business interruption; or
(f) any damages arising from or related to AI Output, including inaccuracies, errors, or reliance on AI Output,
regardless of whether such damages were foreseeable or whether Musa Guide was advised of the possibility of such damages.
38.2 To the fullest extent permitted by applicable law, Musa Guide's total aggregate liability under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the lesser of:
(a) the total fees paid by the Customer to Musa Guide in the twelve (12) months preceding the event giving rise to the liability; or
(b) five thousand pounds sterling (£5,000).
38.3 The limitations in this Section 38 do not apply to:
(a) liability that cannot be excluded or limited by applicable law;
(b) death or personal injury caused by negligence;
(c) fraud or fraudulent misrepresentation; or
(d) any liability arising from the Customer's breach of Section 19.3 (AI Output restrictions) or Section 21.2 (Musa Guide IP restrictions).
38.4 The Customer acknowledges that the limitations of liability in this Section 38 reflect a fair allocation of risk between the parties and form an essential basis of the bargain between the parties.
38.5 Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the limitations in this Section 38 apply to the fullest extent permitted by applicable law.
39. Indemnification
39.1 The Customer shall indemnify, defend, and hold harmless Musa Guide, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
(a) the Customer's use of the Platform;
(b) Customer Content, including any claim that Customer Content infringes or violates any third-party Intellectual Property Rights, privacy rights, or other rights;
(c) Tours created by the Customer and any claims by Visitors or third parties relating to such Tours;
(d) AI Output generated from the Customer's Customer Content;
(e) the Customer's breach of these Terms;
(f) the Customer's violation of any applicable law or regulation; or
(g) any dispute between the Customer and a Visitor.
39.2 Musa Guide will promptly notify the Customer of any claim subject to indemnification and will provide reasonable cooperation in the defence of such claim. The Customer shall not settle any claim without Musa Guide's prior written consent if the settlement would impose any obligation on Musa Guide or admit liability on behalf of Musa Guide.
39.3 This indemnification obligation survives termination of these Terms.
Part N: Confidentiality
40. Confidentiality
40.1 "Confidential Information" means any non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information includes, but is not limited to:
(a) for Musa Guide: Platform technology, algorithms, pricing structures, business plans, and non-public features;
(b) for the Customer: unpublished Customer Content, internal business information, and visitor data accessible through the Platform.
40.2 Confidential Information does not include information that:
(a) is or becomes publicly available through no fault of the receiving party;
(b) was lawfully in the receiving party's possession prior to disclosure;
(c) is lawfully obtained from a third party without breach of any confidentiality obligation; or
(d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.
40.3 Each party agrees to:
(a) hold the other party's Confidential Information in strict confidence;
(b) not disclose Confidential Information to any third party, except to employees, contractors, or advisors who need to know and are bound by confidentiality obligations; and
(c) use Confidential Information only for the purposes of these Terms.
40.4 Confidential Information may be disclosed if required by law, court order, or governmental authority, provided that the disclosing party (where legally permitted) gives the other party reasonable notice to seek protective measures.
40.5 The obligations in this Section 40 survive termination of these Terms for a period of three (3) years.
Part O: Legal
41. Governing Law
41.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
41.2 The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
42. Dispute Resolution
42.1 The parties agree to attempt to resolve any dispute arising out of or in connection with these Terms through good faith negotiations.
42.2 If a dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue resolution through the courts.
42.3 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms (including non-contractual disputes or claims).
42.4 Notwithstanding the above, Musa Guide may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights or Confidential Information.
43. Compliance with Laws
43.1 Each party shall comply with all applicable laws, regulations, and legal requirements in connection with their performance under these Terms.
43.2 The Customer is responsible for ensuring that their use of the Platform, Customer Content, and Tours comply with all laws applicable to the Customer and their Visitors, including:
(a) data protection and privacy laws;
(b) intellectual property laws;
(c) consumer protection laws;
(d) accessibility requirements; and
(e) any industry-specific regulations applicable to museums, cultural institutions, or the Customer's jurisdiction.
43.3 Musa Guide makes no representation that the Platform is appropriate or available for use in all jurisdictions. The Customer is responsible for ensuring that their use of the Platform is lawful in their jurisdiction.
43.4 The Customer shall not use the Platform in any manner that would cause Musa Guide to violate any applicable law, regulation, or legal requirement.
Part P: General
44. Entire Agreement
44.1 These Terms, together with any documents expressly incorporated by reference (including the Privacy Policy and Visitor Terms), constitute the entire agreement between the parties with respect to the subject matter hereof.
44.2 These Terms supersede all prior and contemporaneous agreements, proposals, negotiations, representations, and communications, whether oral or written, relating to the subject matter of these Terms.
44.3 Customised terms agreed in writing between the Customer and Musa Guide (such as pricing agreements, service level agreements, or enterprise contracts) shall supplement these Terms. In the event of any conflict between these Terms and any customised terms, the customised terms shall prevail to the extent of the conflict.
44.4 The Customer acknowledges that they have not relied on any representation, warranty, or statement not expressly set out in these Terms.
45. Amendments
45.1 Musa Guide reserves the right to amend these Terms at any time by posting the updated Terms on the Platform or at https://musa.guide/platform-terms .
45.2 The "Last updated" date at the top of these Terms will be revised to reflect the date of the most recent amendments.
45.3 For material changes to these Terms, Musa Guide will endeavour to provide notice to Customers via email or through the Platform. However, it is the Customer's responsibility to review the Terms periodically for changes.
45.4 Continued use of the Platform following the posting of amended Terms constitutes acceptance of those amendments. If the Customer does not agree to the amended Terms, the Customer must stop using the Platform and may terminate their Account in accordance with Section 33.
45.5 Amendments to these Terms do not affect any customised terms agreed in writing between the Customer and Musa Guide, unless expressly agreed.
46. Severability
46.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other authority of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, while preserving the intent of the original provision.
46.2 If such modification is not possible, the invalid provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
46.3 The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.
47. Waiver
47.1 No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.
47.2 No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy, or the exercise of any other right, power, or remedy.
47.3 Any waiver of any provision of these Terms must be in writing and signed by the waiving party to be effective.
48. Assignment
48.1 The Customer may not assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of Musa Guide. Any attempted assignment without such consent shall be void.
48.2 Musa Guide may assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without the Customer's consent, including to:
(a) an affiliate or subsidiary;
(b) a successor in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of Musa Guide's assets; or
(c) any other third party at Musa Guide's discretion.
48.3 These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
49. Force Majeure
49.1 Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond the party's reasonable control ("Force Majeure Event").
49.2 Force Majeure Events include, but are not limited to:
(a) acts of God, natural disasters, earthquakes, floods, or severe weather;
(b) war, terrorism, riots, civil unrest, or armed conflict;
(c) epidemics, pandemics, or public health emergencies;
(d) government actions, laws, regulations, embargoes, or sanctions;
(e) strikes, labour disputes, or industrial action (other than involving the affected party's own workforce);
(f) failure of third-party services, including AI Providers, hosting providers, or internet service providers;
(g) cyberattacks, hacking, or denial-of-service attacks; and
(h) power outages or telecommunications failures.
49.3 The affected party shall notify the other party as soon as reasonably practicable of the Force Majeure Event and its expected duration, and shall use reasonable efforts to mitigate the effects and resume performance.
49.4 If a Force Majeure Event continues for more than sixty (60) days, either party may terminate these Terms upon written notice to the other party.
50. Notices
50.1 Any notice or communication required or permitted under these Terms shall be in writing and shall be deemed delivered:
(a) when sent by email, upon transmission (unless the sender receives a delivery failure notification);
(b) when delivered personally, upon receipt; or
(c) when sent by recorded or registered post, three (3) business days after posting.
50.2 Notices to Musa Guide shall be sent to:

50.3 Notices to the Customer shall be sent to the email address associated with the Customer's Account, or such other address as the Customer may notify to Musa Guide in writing.
50.4 Either party may update their notice details by providing written notice to the other party in accordance with this Section 50.
51. Relationship of Parties
51.1 The parties are independent contractors. Nothing in these Terms creates or shall be construed to create a partnership, joint venture, franchise, agency, or employment relationship between the parties.
51.2 Neither party has the authority to bind the other party or to incur any obligation on behalf of the other party without the other party's prior written consent.
51.3 Neither party's employees or contractors shall be considered employees of the other party for any purpose.
